Oranjewoud N.V. acquires Strukton Groep N.V.

UTRECHT, 23 July 2010 – NS (Dutch Railways) and Oranjewoud N.V. announced today in a press release (see press release Oranjewoud N.V. (.pdf - 74 kB)) that they have reached agreement on the acquisition of Strukton by Oranjewoud N.V.

Oranjewoud N.V. is active in Europe and the US as a supplier of high quality engineering services in a broad field covering infrastructure, the environment, water, safety, sport and recreational facilities, urban and area development and nature and landscape.

The Group Management Board of Strukton supports the proposed acquisition. Strukton Group CEO Durk ten Wolde and Management Board member Raymond Steenvoorden commented: ‘The company offers a wide range of services and as such, will be in the best position to respond to growing market demand for design and realisation solutions for infrastructural issues. An important factor is that through the acquisition by Oranjewoud N.V., Strukton will have a shareholder with a long-term vision for the business.’

The proposed transaction will considerably broaden and strengthen the position of Oranjewoud N.V. in the infrastructure market. By strengthening its position in this market, Oranjewoud N.V. can benefit from growing demand for a broader service package and multidisciplinary, integrated solutions.

Following completion of the transaction, Gerard Sanderink, the current CEO of Oranjewoud N.V., intends to take over the position of Durk ten Wolde, the current Chairman of the Strukton Group Management Board.

The transaction is subject to the approval of the competition authorities in the Netherlands, Norway and Belgium. However, no objections are anticipated, and completion of the acquisition is expected in the third quarter of 2010.
